FileXpress Terms & Conditions of Use

These Terms and Conditions (the "Terms") are a binding agreement between MANGO STUDIOS, S.A. DE C.V. ("Mango Studios", "we" or the "Company"), owner and exclusive licensor of FileXpress, and the individual or legal entity that registers for or uses the Platform (the "Customer").

By creating an account, clicking "accept", subscribing to a plan or using the Platform, the Customer accepts these Terms, the Terms of Service and the Privacy Policy, which form an integral part of this agreement. Anyone accepting on behalf of a company represents that they have authority to bind it. If you do not agree, do not use the Platform.

The Platform is intended solely for businesses and professionals for commercial purposes. It is not intended for consumers or for anyone under 18.

• "Platform": the FileXpress cloud ERP software, including the web application, the FX Hub Android app, the API, the artificial intelligence assistant, documentation and any updates.
• "User": any person to whom the Customer grants access credentials (employees, accountants, advisors or others).
• "Customer Data": information the Customer or its Users enter, import or generate in the Platform, including customer, supplier, product, transaction, employee and document data.
• "Tax Documents": electronic tax documents (DTE) and other receipts issued through the Platform, including Invoices, Credit Memos and Debit Memos in the United States.
• "AI Features": the data agent, the help assistant and any functionality based on artificial intelligence models.
• "Beta Features": modules or features labeled "Beta", "Experimental", "Preview" or similar.
• "Plan": the package of modules and conditions subscribed to by the Customer.

Subject to compliance with these Terms and timely payment, Mango Studios grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Platform during its subscription, solely for the internal operations of its business.

The Platform is licensed, not sold. All rights not expressly granted are reserved by Mango Studios.

• The Customer must provide truthful, complete and up-to-date information and keep it current.
• The Customer is solely responsible for creating Users, assigning roles and permissions, revoking access, and for all activity carried out with its credentials.
• Credentials are personal and non-transferable. The Customer must immediately notify soporte@filexpress.app of any unauthorized use or security breach.
• Mango Studios is not liable for losses arising from misuse of credentials, permissions misconfigured by the Customer, or failure to enable two-factor authentication.

The Customer shall not, and shall not allow third parties to:

• Copy, modify, translate, decompile, disassemble or reverse engineer the Platform, except to the extent expressly permitted by law.
• Resell, sublicense, rent, assign or commercially exploit the Platform, or offer it as a service to third parties (including as a "service bureau"), without written authorization.
• Access the Platform to build a competing product, or run benchmarks for publication without authorization.
• Use unauthorized robots, scrapers or other automated means, or exceed the usage limits of the API or the AI Features.
• Introduce malicious code, attempt to breach security, run unauthorized penetration tests or interfere with the operation of the Platform or other customers.
• Use the Platform for unlawful activities, tax fraud, money laundering, issuing false or simulated documents, or infringing the rights of third parties.
• Enter data the Customer has no right to process, or unlawful, defamatory or offensive content.

A breach of this section entitles Mango Studios to suspend or cancel the account immediately, without prejudice to any applicable legal action.

• The Customer retains ownership of Customer Data. Mango Studios acts as a data processor and processes it solely to provide, maintain, protect and improve the service, in accordance with the Privacy Policy.
• The Customer grants Mango Studios a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Data as necessary to provide the service, including submitting it to tax authorities when the Customer issues Tax Documents.
• Mango Studios may generate and use aggregated, anonymized data that does not identify the Customer or any individual for statistics, security and Platform improvement. Such data is owned by Mango Studios.
• The Customer is solely responsible for the accuracy, legality and quality of Customer Data and for having the authorizations and legal bases required to process it, in particular the personal data of its employees, customers and suppliers.

• The Platform is a technology tool for generating, signing, transmitting and storing Tax Documents. Mango Studios is not a tax, accounting or legal advisor and does not provide accounting services.
• The Customer is solely responsible for the content of each Tax Document; for configuring taxes, withholdings, exemptions and document types; for keeping its digital certificates and tax-authority credentials valid; and for meeting all of its tax and accounting obligations.
• Receipt, validation and stamping of documents depend on the tax authority's systems. Mango Studios is not liable for outages, rejections, regulatory or technical changes, or delays attributable to those systems. Contingency mode is a continuity mechanism and does not guarantee acceptance of documents.
• Books, schedules and reports generated are supporting tools; the Customer and its accountant must review them before filing.
• Mango Studios is not liable for fines, surcharges, interest, adjustments or penalties imposed on the Customer.

Automatic journal entries, payroll calculations (social security, pension, income tax, overtime, bonuses, vacations, severance and final settlements), depreciation, costing and other calculations are based on the configuration, tables and policies defined or approved by the Customer. The Customer must verify results before paying, posting or filing them. In countries where the Platform offers general HR features, certain amounts must be entered manually and are the Customer's sole responsibility.

• AI Features generate answers automatically using third-party models (for example, Amazon Bedrock) and may contain errors, omissions or inaccuracies. Answers are informational and do not constitute legal, accounting, tax, financial or employment advice.
• The data agent operates in read-only mode on the active branch. The help assistant may navigate and open forms, but every final action (saving, issuing, paying, approving) requires confirmation by the User, who is responsible for it.
• Use is subject to limits (for example, a maximum number of daily queries per user) and to availability by Plan. Mango Studios may modify, limit or withdraw AI Features at any time.
• The Customer must not enter into the AI Features information it is not authorized to process, nor use them for purposes prohibited by these Terms.

Automatic purchase intake by email, catalog and attendance imports from Excel and other automations prepare records that the Customer must review and approve. Mango Studios is not liable for errors originating in source files or documents, nor for records approved by the Customer without review. The Customer is responsible for who knows and uses its intake address.

• API keys are confidential and equivalent to credentials. The Customer is responsible for all use made with them and must revoke them if compromised.
• The API is subject to usage limits, per-resource permissions and activity logs. Mango Studios may throttle, suspend or revoke access in case of abuse, security risk or exceeding limits.
• Integrations with third-party systems (online stores, POS, biometric clocks, banks or others) are the responsibility of the Customer and the third party. Mango Studios does not guarantee their operation and is not liable for the acts of such third parties.
• Mango Studios may version, modify or deprecate endpoints with reasonable notice.

The FX Hub app is distributed through Google Play and is also subject to that store's terms. Compatibility with every device, POS terminal, thermal printer and scale is not guaranteed. The Platform may rely on third-party services (cloud infrastructure, email, messaging, maps, payment gateways or authorities) whose terms and availability are outside Mango Studios' control.

Beta Features are provided "as is" for evaluation, may contain errors, may change substantially or be withdrawn without notice, and are not covered by the service level agreement. They are used at the Customer's sole risk.

• Subscriptions are billed in advance, in US dollars, according to the Plan and billing period chosen. Prices exclude VAT, sales tax and other applicable taxes, which are borne by the Customer.
• Mango Studios may change prices with at least 30 days' notice; the new price applies from the next billing cycle. Continued use of the Platform constitutes acceptance.
• In case of non-payment, Mango Studios may, after notice, limit features, suspend access or cancel the account. Reactivation may require payment of outstanding balances.
• Unless otherwise required by law or provided in the Terms of Service, payments are non-refundable, including partially used periods or unused modules.

Mango Studios may suspend access in whole or in part, without liability, when: (a) these Terms are breached or payment is overdue; (b) use poses a risk to the security, integrity or performance of the Platform or other customers; (c) required by an authority or by law; or (d) there are reasonable indications of fraud or unlawful activity.

• These Terms apply for as long as the Customer has an account. Either party may terminate the subscription under the Terms of Service.
• After termination, the Customer will have 30 days to export its data using the available tools. After that period, Mango Studios may permanently delete Customer Data, except data it must retain by law and backup copies, which are deleted in their normal cycle.
• Sections that by their nature should survive (intellectual property, limitation of liability, indemnification, outstanding payments, governing law) survive termination.

The Platform, its source code, design, databases, documentation, trademarks (including "FileXpress"), logos and content are the exclusive property of Mango Studios or its licensors and are protected by intellectual property laws.

Suggestions, ideas or feedback provided by the Customer may be used freely by Mango Studios, without any obligation of compensation or attribution.

Each party will protect the other's confidential information with at least the same care it applies to its own, and will not use it for purposes other than this agreement. This excludes information that is public, already known, independently developed or required to be disclosed by law.

To the maximum extent permitted by law, the Platform is provided "as is" and "as available". Mango Studios does not warrant that the Platform will be error-free or uninterrupted, that it will meet the Customer's specific needs, or the accuracy of results, calculations or AI answers, and disclaims all implied warranties of merchantability, fitness for a particular purpose and non-infringement. The only service commitments are those expressly stated in the Terms of Service.

• In no event shall Mango Studios, its shareholders, directors, employees or suppliers be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, customers or data, business interruption, fines or penalties, even if advised of their possibility.
• Mango Studios' total aggregate liability for any claim related to the Platform or these Terms shall not exceed the amount actually paid by the Customer during the three (3) months preceding the event giving rise to the claim.
• These limitations apply regardless of the legal theory (contract, tort or otherwise) and to the maximum extent permitted by law.

The Customer shall defend and hold Mango Studios harmless from claims, penalties, damages, costs and reasonable fees arising from: (a) Customer Data or Tax Documents issued; (b) use of the Platform in breach of these Terms or the law; (c) the Customer's failure to meet its tax, employment or data protection obligations; or (d) the acts of its Users or integrations.

Neither party is liable for failures caused by events beyond its reasonable control, including natural disasters, failures of cloud, telecommunications or power providers, cyberattacks, acts of authority, tax-authority system outages, conflicts or pandemics.

Mango Studios may modify these Terms. Material changes will be notified at least 30 days in advance by email or within the Platform. Continued use after they take effect constitutes acceptance; if the Customer disagrees, it may cancel its subscription before that date.

These Terms are governed by the laws of the Republic of El Salvador. The parties will seek to resolve any dispute amicably; failing that within 30 days, they submit to the competent courts of San Salvador, waiving any other venue that may apply.

• If any provision is held invalid, the remaining provisions remain in full force.
• Failure to exercise a right does not constitute a waiver of it.
• The Customer may not assign this agreement without written consent; Mango Studios may assign it in connection with a merger, acquisition or reorganization.
• These Terms, the Terms of Service, the Privacy Policy and any accepted order or proposal constitute the entire agreement between the parties.
• In case of discrepancy between language versions, the Spanish version prevails.
